CAPMAN PLC’S SWEDISH ACQUISITION COMPLETED

CapMan Plc has completed the acquisition of the Swedish private equity company Swedestart Management AB. Plan for the acquisition was published on 1 February 2002. In the transaction CapMan Plc acquired the entire share capital of Swedestart Management AB. The transaction value was approximately EUR 17 million.

CapMan Plc financed the acquisition by cash payment and a direct share issue of 4,500,000 new B shares to the three owners of Swedestart Management. As a result of the deal, Swedestart’s three owners became senior partners of CapMan with 5.9 per cent ownership

of the share capital of CapMan Plc. Swedestart Management AB has today, on 18 April 2002 become wholly owned subsidiary of CapMan Plc.

The increase of the share capital by EUR 45,000 will be notified for registration to the Trade Register without delay. The number

of CapMan B shares after the increase of the share capital is 67,694,630 and the entire share capital including all share types

is EUR 756,946.30. The trading of the new shares is estimated to commence on 22 April 2002 on the Helsinki Stock Exchange in parallel with the old shares.

The acquisition of Swedestart Management AB is part of CapMan’s Nordic growth strategy and strengthens the company’s market position in the key business areas in mid-sized buy-outs and technology investments as well as investments in the life sciences sector in the Nordic countries.

After the acquisition of Swedestart, the CapMan team consists of 70 people, and the company has offices in Helsinki, Stockholm and Copenhagen. The funds managed by CapMan have invested in total in 121 unquoted companies in the Nordic countries and exited from 44 companies.
