Composition of Board committees of CapMan Plc

The Board of Directors of CapMan Plc, which was elected today at the Annual General Meeting of the Shareholders, has in its organisation meeting elected Heikki Westerlund as Chairman and Teuvo Salminen as Vice Chairman.

 

Heikki Westerlund will continue as the Company’s CEO and member of the Management Group until 1 June 2010, when Mr Lennart Simonsen, LL.M., starts in the position. During this period, Vice Chairman Teuvo Salminen will assume the duties of the Chairman.

 

The Board established a Remuneration Committee with following members:

       Sari Baldauf (Chairman)

       Tapio Hintikka

       Heikki Westerlund

 

In addition, the Board decided to appoint a Nomination Committee at a later stage. The Board decided that it will not establish a separate Audit Committee at this stage, because the Board shall be able to handle the Committee’s duties along its other tasks.

 

According to CapMan Plc’s Corporate Governance, the majority of the committees’ members shall be independent of the Company. Also members from outside the Board can be appointed to the Board committees.

 

The Board of Directors also assessed the independence of its members and concluded that Sari Baldauf, Koen Dejonckheere and Tapio Hintikka are independent of the company and its significant shareholders. Conny Karlsson and Teuvo Salminen, who act as CapMan advisors, are dependent of the Company, and Heikki Westerlund is dependent of both the Company and its significant shareholders.
